End-User License Agreement

This End-User License Agreement (“EULA”) is a binding legal agreement between you (“User,” “you,” or “your”) and BnB Ventures LLC (“VR Goals,” “we,” “us,” or “our”) governing your use of the VR Goals OKR Platform, including any associated software, mobile applications, browser extensions, and related services (collectively, the “Software”).

By installing, accessing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by this EULA. If you do not agree to these terms, do not install, access, or use the Software.

If you are accepting this EULA on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to this EULA. In such case, “you” and “your” shall refer to that entity.

Subject to your compliance with this EULA and payment of applicable fees, VR Goals grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software for your internal business purposes during the term of your subscription.

This license permits you to:

• Access and use the Software through a web browser or supported client application.
• Create, manage, and export your data within the Software.
• Allow authorized users within your organization to access the Software under your account, subject to your subscription plan's user limits.

You shall not, directly or indirectly:

• Copy, modify, adapt, translate, or create derivative works based on the Software.
• Reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code, algorithms, or underlying structure of the Software.
• Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Software or access thereto to any third party.
• Remove, alter, or obscure any proprietary notices, labels, or marks on the Software.
• Use the Software to build a competing product or service, or to benchmark the Software for publication without our prior written consent.
• Use the Software in any manner that exceeds the scope of the license granted herein or in violation of applicable law.
• Access the Software through any automated or non-human means, including bots, scrapers, or crawlers, without our express written permission.
• Circumvent, disable, or interfere with any security, authentication, or access-control features of the Software.

The Software and all copies thereof are the intellectual property of and are owned by BnB Ventures LLC. The structure, organization, and code of the Software are valuable trade secrets and confidential information of BnB Ventures LLC. The Software is protected by copyright, trademark, and other intellectual property laws and international treaty provisions.

This EULA does not grant you any rights to the trademarks, service marks, or logos of VR Goals or BnB Ventures LLC. All rights not expressly granted to you in this EULA are reserved by BnB Ventures LLC.

You retain all ownership rights to the data, content, and materials you upload, create, or store through the Software (“User Content”). By using the Software, you grant VR Goals a limited, non-exclusive license to host, store, process, and display your User Content solely as necessary to provide and operate the Software.

You are responsible for ensuring that your User Content does not violate any applicable laws or infringe upon the rights of any third party. You are also responsible for maintaining your own backups of User Content.

Access to the Software requires an active subscription. Subscription plans, pricing, and features are described on our website and may be updated from time to time.

• Billing: Subscription fees are billed in advance on a monthly or annual basis, as selected by you. All payments are processed securely through Stripe.
• Automatic renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for unused portions of a billing period.
• Price changes: We will provide at least 30 days' notice before any price changes take effect.

VR Goals may, from time to time, update, modify, or enhance the Software. Such updates may include bug fixes, new features, performance improvements, or changes to existing functionality. Updates are provided automatically as part of the Software-as-a-Service delivery model.

We reserve the right to modify, suspend, or discontinue any feature or functionality of the Software at any time, with or without notice. We will make commercially reasonable efforts to provide advance notice of material changes.

The Software may integrate with or provide access to third-party services, applications, or content (“Third-Party Services”). Your use of Third-Party Services is subject to the terms and policies of those third parties. VR Goals does not endorse, control, or assume responsibility for any Third-Party Services, and your interaction with them is at your own risk.

The Software is provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by applicable law, VR Goals disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

VR Goals does not warrant that the Software will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that defects will be corrected. No advice or information, whether oral or written, obtained from VR Goals shall create any warranty not expressly stated in this EULA.

To the maximum extent permitted by law, in no event shall BnB Ventures LLC or its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or business opportunities, arising out of or in connection with this EULA or the use or inability to use the Software.

BnB Ventures LLC's total aggregate liability for all claims arising out of or relating to this EULA or the Software shall not exceed the amount you paid to VR Goals in the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.

This EULA is effective from the date you first access or use the Software and continues until terminated.

• Termination by you: You may terminate this EULA at any time by closing your account and ceasing all use of the Software.
• Termination by us: We may terminate or suspend this EULA and your access to the Software immediately, without prior notice, if you breach any provision of this EULA.

Upon termination, your license to use the Software will immediately cease. You will have 30 days following termination to export your User Content. After that period, we may delete your data in accordance with our Privacy Policy. Sections 3, 4, 9, 10, 11, 13, and 14 shall survive termination.

Governing law: This EULA is governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Arbitration: Any dispute arising from or relating to this EULA or the Software shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware, United States, and shall be conducted in English.

Class action waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Entire agreement: This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and BnB Ventures LLC with respect to the Software.

Severability: If any provision of this EULA is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: The failure of VR Goals to enforce any right or provision of this EULA shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer this EULA or your rights hereunder without our prior written consent. VR Goals may assign this EULA without restriction.
